ARTICLE XI AMENDMENTS TO DIVISIONAL BY LAWS These Bylaws may be altered, amended or repealed, and new Bylaws may be adopt- ed, by a majority of the directors present at any regular meeting or at any special meeting, provided that at least fifteen (15) days written notice is given of the intention to alter, amend or repeal, or to adopt new Bylaws at such meeting and, provided further, that any such altera- tion, amendment or repeal is approved at a subsequent meeting of the voting members, who shall be given at least thir- ty (30) days prior written notice of such proposed adoption, alteration, amend- ment or repeal. ARTICLE XII CHAPTERS The corporation may recognize chapters pursuant to policies adopted by the Board of Directors from time to time. Any such chapters shall operate in accordance with the rules and guidelines adopted by the Divisional Board of Directors. ARTICLE XIII CONSTRUCTION AND TERMS If there is any conflict between the provisions of these Divisional Bylaws and the Articles of Incorporation of the Corporation, or the Corporation’s Bylaws, the provisions of the Corporation’s documents shall govern.
